FARA Elements of the Offense
A Foreign Agents Registration Act prosecution is built on definitions rather than on conduct that is wrong in itself. The Act requires disclosure by people who act as agents of foreign principals in ways it defines, and 22 U.S.C. § 611 supplies those definitions. Each one is an element the government must establish, and each is answerable from documents.
At trial the district court instructs the jury on the elements, settling the language with the parties from the statutory text. Because the definitions are technical and are described loosely almost everywhere else, the wording of those instructions is a substantive issue rather than a formality. ToggleA Foreign Principal
The government must establish that the relationship ran to a foreign principal as § 611 defines the term. The definition reaches a foreign government and a foreign political party, a person outside the United States within the statutory qualifications, and an entity organised under the laws of a foreign country or having its principal place of business abroad. Corporate structure frequently makes this contested, because a domestic subsidiary, a joint venture, or an intermediary with independent business may not fit, and the answer comes from corporate records rather than from how a relationship is described.
Agency: Order, Request, Direction, or Control
The second element is the relationship. A person is an agent of a foreign principal where they act at the order, request, or under the direction or control of that principal. This is the element most often contested and most often assumed. Alignment of views is not agency, and payment alone is not agency. The government must connect an instruction or request to the activity it says required registration, and it normally does so through engagement documents, correspondence, edits, and task-linked payments.
Covered Activity
Agency is not enough on its own. The person must engage in activity the section covers: political activities as defined, acting as a public relations counsel, publicity agent, information service employee, or political consultant for the principal, soliciting or dispensing money or things of value, or representing the principal before an agency or official of the United States. Political activities are themselves defined in terms of an intent to influence an agency or official, or any section of the public, with reference to policy or to the political or public interests of a foreign principal. Commercial and technical work that never touches policy or public opinion falls outside the categories.
The Duty and the Failure, Committed Willfully
Where the definitions are satisfied, the Act imposes a duty to register and to file. The government must then establish a failure to meet that duty, or a materially false statement in what was filed, and must establish that the failure was willful. That last requirement carries weight in a statute this definitional, because a person who did not understand that an arrangement triggered a duty has not willfully failed to discharge it. Evidence of legal advice, of an advisory opinion sought from the administering unit, and of open disclosure of the relationship is directly relevant to it.
Frequently Asked Questions
Is failing to register automatically a crime?
No. The Act is administered primarily through correspondence, advisory opinions, late filings, and civil remedies. Criminal liability requires a willful violation, and many matters that begin as an inquiry into whether a duty applied end with a registration rather than a charge. That is why an early assessment of the definitions, and early contact handled by counsel, so often determines whether a matter becomes a prosecution at all.
What does direction or control actually require?
A relationship in which the foreign principal asks for, orders, or directs the activity. Courts and juries look for instructions, approvals, reporting back, and payment tied to particular tasks. What does not satisfy it is agreement with the principal’s views, general financial support unconnected to the activity, or a shared interest in an outcome. Evidence that the client originated the work independently is a direct answer to this element rather than a plea in mitigation.
Are lawyers and businesses covered by the Act?
The definitions can reach them, and the Act also contains exemptions covering categories such as certain commercial activity and legal representation. This page does not cite those provisions or paraphrase their conditions, which are detailed and must be read in the current statutory text with counsel. The practical approach is to identify the exact activity at issue, then test it against both the definitions and the exemptions rather than assuming a profession is inside or outside the Act.
Does § 611 contain the penalty?
No. Section 611 is the definitions provision. The registration duty, the exemptions, and the criminal penalty appear in other sections of the same Act, which this page does not cite. No maximum, minimum, or fine amount is stated here, because no verified figure is available to this page. Anyone assessing exposure should read the current statutory text with counsel against the specific counts in the charging document.
Who decides how the jury is instructed on these definitions?
The district court, after the parties submit proposed instructions and argue the disputed wording. Because the statutory definitions are technical and are used loosely in ordinary speech, the difference between an instruction that tracks the statute and one that paraphrases it can be decisive. Preparing proposed language early, from the statutory text, is part of building the defense rather than a task for the end of trial.
Can a person be an agent without a written agreement?
Yes. The definition turns on the substance of the relationship, not on the existence of a contract, and an oral request can satisfy it. The absence of documentation cuts both ways: it makes the government’s proof harder, but it also removes the record that might show the client acted independently. Reconstructing the actual sequence of communications early is therefore useful to the defense whether or not anything was written down.
